Terms of Service

1. Acceptance of Terms
By accessing or using the Verdant WM platform, you agree to be bound by these Terms of Service. If you do not agree, do not use our services. These terms apply to all users, including visitors, registered users, and paying customers.
2. Description of Services
Verdant provides AI-powered waste auditing, compliance screening, savings analysis, and ongoing monitoring services. Our platform processes waste-related documents to generate audit reports, cost analyses, and optimization recommendations.
3. User Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use.
4. Data Ownership & Usage
You retain full ownership of all documents and data you upload. By using our service, you grant Verdant a limited license to process your data solely for the purpose of delivering audit services. We do not claim ownership of your content.
5. Payment Terms
Fees are charged per audit or as agreed in your subscription plan. Payment is due upon invoice. Late payments may incur interest at 1.5% per month. Prices are subject to change with 30 days advance notice.
6. Savings Guarantee
For Starter and Business tier audits, if our report does not identify at least 10% in potential savings, we will refund your audit fee in full. This guarantee does not apply to Enterprise custom engagements unless specifically agreed in writing.
7. Limitation of Liability
Verdant provides audit reports as advisory tools. We are not liable for decisions made based on our reports. Our total liability is limited to the amount paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate the agreement with 30 days written notice. Upon termination, we will provide you with your data in a standard format. Accrued obligations survive termination.
9. Governing Law
These terms are governed by the laws of the State of California. Any disputes shall be resolved through binding arbitration in San Francisco, CA, under the rules of the American Arbitration Association.
